01Acceptance of Terms
By accessing or using the CloudStudio website and services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these terms, please do not use our Services.
02Description of Service
CloudStudio provides a cloud platform for media and entertainment post-production, including dedicated Mac workstations, tiered media storage, high-speed file transfers, a media library, and client review tools, together with optional managed IT services for studios. Features may evolve over time as the platform develops.
03User Accounts
To use certain features of our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when registering, and to keep it current.
04Acceptable Use
You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair the platform. You will not attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to our Services, and you will not use the Services to store or distribute content you do not have the rights to.
05Customer Content & Ownership
You retain all rights to the media and other content you upload to or create on the Services ("Customer Content"). CloudStudio does not claim ownership of Customer Content. You grant us only the limited rights needed to operate the Services: to store, transmit, transcode (for example, generating preview proxies), and display Customer Content to the people you authorize.
You are responsible for ensuring you have the rights to the content you bring to the platform, and for the access you grant to others, including share links you create.
06Fees & Billing
Paid Services are billed according to the plan and pricing agreed with your organization. Unless otherwise agreed in writing, fees are payable when due and are non-refundable except where required by law. We may change pricing with reasonable advance notice; changes apply from your next billing period.
07Intellectual Property
The CloudStudio platform, including its design, features, and content (excluding Customer Content), is owned by CloudStudio and protected by intellectual property laws. You may not copy, modify, or distribute any part of our Services without prior written permission.
08Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time, and will use reasonable efforts to give notice of material changes that affect your use.
09Term & Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach of these terms, non-payment, or use that puts the platform or other customers at risk, with notice where practicable.
On termination, we will make Customer Content available for retrieval for a reasonable wind-down period before deletion, except where law requires otherwise. Storage fees may continue to apply during that period.
10Warranty Disclaimer
The Services are provided "as is" and "as available." To the fullest extent permitted by law, CloudStudio disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11Limitation of Liability
To the fullest extent permitted by law, CloudStudio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the amount you paid for Services in the twelve months preceding the claim.
12Changes to Terms
We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new terms.
